Attending the Annual Meeting
Only shareholders as of the record date, or their authorized representatives, can attend the annual meeting in person. Joint owners of shares wishing to attend the meeting must own at least one full share per attendee. Subject to restrictions, each duly admitted shareholder who is a natural person may also bring one guest. Required documentation will depend on whether you are a “registered shareholder” (also known as a “shareholder of record”) or a “beneficial shareholder” (also known as a “street name holder”).
Registered Shareholders
You are a "registered shareholder" if you have a personal account with the Company's transfer agent, Wells Fargo Shareowner Services or you are in possession of actual stock certificates. Registered shareholders will receive either a “Notice of Internet Availability of Proxy Materials” or an admission ticket once the Annual Meeting materials become available. You will need to bring the notice or the admission ticket and valid photo identification with you to the Annual Meeting in order to be admitted to the meeting.
Beneficial Shareholders
If your UnitedHealth Group stock is held in an account in your name with a brokerage firm (for example, Smith Barney or T. Rowe Price), bank trustee or other agent, you are a "beneficial shareholder." As a beneficial shareholder, you must bring your most recent brokerage statement or a letter from your broker or other nominee and valid photo identification with you to the Annual Meeting. We will use that statement or letter to verify your ownership of common stock and admit you to the Annual Meeting. Note, however, beneficial shareholders will not be able to vote their shares at the Annual Meeting without a legal proxy, which is a bank’s or broker’s authorization for the beneficial shareholder to vote the shares the bank/broker holds in its name on the beneficial shareholder’s behalf. Please contact your bank or broker for further information.
Authorized Representatives
An authorized representative of a shareholder (such as, for an entity that is a shareholder) must additionally present appropriate documentation evidencing his or her authority with respect to the shares. We urge you to contact Jeffrey DeBruin in our Office of the Secretary at (952) 936-4986 in advance of our Annual Meeting to confirm you have proper documentation. Failure to do so may delay your entry into or prevent you from being admitted to our Annual Meeting. We reserve the right to limit the number of representatives for any shareholder who may attend the Annual Meeting.
Additional Information
Please note that use of cameras, phones or other similar electronic devices and the bringing of large bags, packages or sound or video recording equipment will not be permitted in the meeting room. Attendees will also be required to comply with rules of order and procedure that will be available at the meeting.
Electronic Delivery of Shareholder Materials
UnitedHealth Group, through ADP Investor Communications Services (ICS), is pleased to offer electronic delivery of our annual reports, proxy statements and proxy ballots, allowing shareholders to vote their proxies online. Electronic delivery is desirable for a number of reasons:
- Immediate availability of important information – no more waiting for the mail to arrive
- Less mail – the average consumer is receiving more mail today than ever, and it is time-consuming to look through it all
- Cost savings – electronic delivery saves money for the company you are invested in
- It’s much better for the environment
With your consent, you will be notified by e-mail when these materials are available via the Internet. To sign up for electronic delivery of proxy materials and accept this service, you must have an e-mail address, Internet access through an Internet service provider, and a Web browser that supports secure connections. Shareholders should note that UnitedHealth Group is not responsible for any charges you may incur from your personal Internet service provider and/or telephone company.

Registered Shareholders and Company Plan Participants
Registered shareholders and participants in the Company’s 401(k) or Employee Stock Purchase Plan (plan participants) can click here to receive your shareholder materials on-line as a registered shareholder or plan participant, or to change or opt out of electronic delivery.
Beneficial Shareholders
In the case of beneficial shareholders, your proxy materials are delivered to your broker, bank, or other nominee, who then delivers them to you. UnitedHealth Group and its transfer agent do not have records for beneficial shareholders of our stock. However, beneficial shareholders may sign-up for electronic delivery of proxy materials using the Web link on this page as long as their brokerage firms and/or banks offer electronic delivery of these documents.

Note to UnitedHealth Group Employees
Some UnitedHealth Group shareholders may be both registered AND beneficial shareholders. UnitedHealth Group employee shareholders may receive their proxy materials online automatically and may use the Company's e-mail and Internet to vote their proxy ballots online.

How will Electronic Delivery work?
By consenting to electronic delivery, you agree to receive your UnitedHealth Group annual shareholder meeting materials over the Internet. Approximately four weeks prior to our annual shareholder meeting, you will receive an e-mail notice that will provide links to the annual meeting materials (annual report, notice of annual meeting and proxy statement, and proxy/voting instructions).
If I choose electronic delivery, how can I vote my shares?
You may vote via the Internet whether or not you consent to receive your annual meeting materials online. When annual shareholder meeting materials are distributed, you will receive an e-mail notice with links to the materials. This e-mail notice will have the necessary instructions to vote your proxy/voting instruction online.
How do I change or revoke my consent to electronic delivery?
You can change or revoke your consent to electronic delivery of your UnitedHealth Group annual shareholder meeting materials online at any time by visiting the election site.
What technology do I need to access the annual meeting materials online? Is there any minimum configuration suggested?
